Terms of Use

1. Introduction

1.1 These Terms and Conditions (“Terms”) govern access to, registration with, and use of the Book Rion platform, including the Book Rion mobile applications, web portals, administrative dashboards, APIs, marketplace features, community features, reading tools, subscription services, and any other product, feature, service, or interface made available by Book Rion Ltd.

1.2 Book Rion Ltd shall, in these Terms, be referred to as “Book Rion”, “the Company”, “we”, “us”, or “our”.

1.3 These Terms apply to all users of the platform, including readers, young readers, parents or guardians, authors, publishers, bookstores, content providers, sellers, lessors, lessees, exchange participants, logistics-related participants, and any other person or entity accessing or using Book Rion.

1.4 By accessing, registering on, browsing, using, uploading to, listing on, purchasing from, leasing through, exchanging through, or otherwise participating in the Book Rion platform, you confirm that you have read, understood, and agreed to be bound by these Terms and all related Book Rion policies.

1.5 If you do not agree with these Terms, you must not access, register on, or use the platform.

2. Related Policies

2.1 These Terms shall be read together with any applicable Book Rion policies, including without limitation:

• (a)Book Rion Content and Intellectual Property Policy;
• (b)Book Rion Marketplace Rules;
• (c)Book Rion Privacy Policy;
• (d)Book Rion Community Guidelines;
• (e)any seller, publisher, bookstore, content provider, logistics, payment, or subscription terms issued or agreed by Book Rion.

2.2 Where there is a conflict between these Terms and any separately executed written agreement between Book Rion and a commercial partner, the written agreement shall prevail to the extent of that conflict, unless otherwise stated.

3. Definitions

In these Terms, unless the context otherwise requires:

“Account” means a registered profile created by a user on the Book Rion platform.

“Book Rion Platform” or “Platform” means all mobile applications, web portals, dashboards, APIs, databases, systems, services, tools, and digital infrastructure operated by Book Rion.

“Content Provider” means any author, publisher, bookstore, distributor, rights holder, or authorised representative who lists, uploads, submits, sells, leases, distributes, or otherwise makes books or related content available through Book Rion.

“Digital Content” means e-books, articles, research papers, digital publications, summaries, samples, metadata, images, cover art, and other content provided or accessed electronically.

“Physical Book” means a tangible printed book listed, sold, leased, exchanged, or delivered through the platform.

“Rion Prime” means Book Rion’s main mobile reading experience for general readers.

“Rion Studio” means Book Rion’s backend and management portal for authors, publishers, bookstores, sellers, and content providers.

“Young Rion” means Book Rion’s curated reading environment and related experience for children and young readers.

“Reader” means a user who browses, reads, purchases, leases, exchanges, reviews, tracks, or otherwise interacts with books through the platform.

“Reading Credits” means points, rewards, benefits, or platform-based credits that may be earned, granted, redeemed, restricted, withdrawn, or modified in accordance with Book Rion’s rules.

“Subscription Plan” means any free, paid, promotional, recurring, or tiered access plan offered by Book Rion.

“User” means any person or entity accessing or using Book Rion.

“Wallet” means any internal Book Rion earnings account, settlement balance, user balance, or stored-value feature made available by Book Rion.

4. Interpretation

4.1 In these Terms:

• (a)words in the singular shall include the plural and vice versa;
• (b)references to “including” shall be interpreted as “including without limitation”;
• (c)headings are for convenience only and shall not affect interpretation;
• (d)references to any law shall include any amendment, replacement, re-enactment, or subsidiary legislation made under it;
• (e)references to the platform shall include all current and future Book Rion products, unless expressly excluded.

4.2 No rule of interpretation shall apply to construe these Terms against Book Rion merely because Book Rion prepared them.

5. Eligibility and Account Registration

5.1 To register for Rion Prime, a user must be at least thirteen (13) years old, or such other minimum age as may be required by applicable law.

5.2 Users below the required age may only use Book Rion under a Young Rion account or child-oriented access structure approved by Book Rion, and only with the consent and supervision of a parent or legal guardian.

5.3 By creating an Account, you represent and warrant that all information provided is accurate, complete, current, and not misleading.

5.4 You are responsible for maintaining the confidentiality of your login credentials and for all activity carried out under your Account.

5.5 Book Rion shall not be liable for loss arising from unauthorised use of your Account where such use results from your failure to safeguard your credentials.

5.6 You must notify Book Rion immediately if you suspect unauthorised access, compromise, or misuse of your Account.

6. User Responsibilities

6.1 Every user shall:

• (a)use the platform lawfully and responsibly;
• (b)provide accurate information;
• (c)comply with these Terms and all applicable policies;
• (d)respect intellectual property rights;
• (e)avoid fraudulent, abusive, harmful, misleading, or unlawful conduct;
• (f)cooperate with Book Rion in relation to verification, disputes, investigations, fulfilment, and enforcement.

6.2 Users shall not:

• (a)violate any applicable law or regulation;
• (b)upload, list, distribute, sell, lease, exchange, or promote pirated or unauthorised materials;
• (c)attempt to bypass platform fees, escrow, settlement processes, or payment systems;
• (d)copy, scrape, redistribute, resell, screen-record, exploit, or misuse content obtained through Book Rion;
• (e)interfere with platform operations or security;
• (f)impersonate another person or entity;
• (g)manipulate reviews, ratings, transactions, recommendations, or reading activity;
• (h)use Book Rion for unlawful, deceptive, harmful, or unauthorised purposes.

7. Book Rion Products and Services

7.1 Book Rion may provide access to different product experiences, including Rion Prime, Young Rion, Rion Studio, community features, marketplace services, book discovery features, subscriptions, reading tools, recommendations, analytics, and related services.

7.2 Book Rion may modify, suspend, expand, restrict, rename, replace, or discontinue any feature, service, product, or platform component at any time, provided that such action is commercially reasonable or necessary for product improvement, security, compliance, or operational reasons.

7.3 Book Rion does not guarantee that every feature will be available to every user, in every location, at every time, or under every subscription plan.

8. Subscriptions, Fees, and Payments

8.1 Book Rion may offer free, paid, promotional, limited-access, recurring, or tiered Subscription Plans.

8.2 Subscription Plans may differ in price, duration, access level, benefits, reading tools, reading credits, community features, recommendations, AI-enabled tools, summaries, discounts, or other services.

8.3 Subscription fees, marketplace fees, listing fees, seller commissions, logistics markups, wallet charges, withdrawal charges, and any other applicable charges may be determined, reviewed, updated, or revised by Book Rion from time to time.

8.4 Where a subscription is recurring, it may automatically renew unless cancelled before the renewal date through the user’s account settings or any other cancellation method approved by Book Rion.

8.5 Users are responsible for ensuring that their payment details are accurate and that sufficient funds are available for recurring or one-time payments.

8.6 Book Rion may suspend or restrict access to paid features where payment fails, is reversed, is disputed, or remains outstanding.

8.7 Unless otherwise stated, fees are non-refundable except where required by law, expressly provided in Book Rion’s refund policy, or determined by Book Rion in its discretion.

9. Reading Credits, Rewards, and Promotional Benefits

9.1 Book Rion may offer Reading Credits, rewards, streak benefits, promotional access, referral bonuses, badges, or other user incentives.

9.2 Such benefits have no cash value unless expressly stated by Book Rion.

9.3 Book Rion may grant, withhold, reverse, expire, suspend, or modify Reading Credits or rewards where necessary to prevent abuse, correct error, enforce platform rules, or update product design.

9.4 Users shall not manipulate reading activity, referrals, reviews, transactions, or platform behaviour to obtain credits or benefits fraudulently.

10. Book Sales and Marketplace Transactions

10.1 Book Rion may facilitate the sale, purchase, lease, exchange, discovery, listing, and fulfilment of books and related materials through its marketplace.

10.2 Marketplace participation shall be governed by these Terms, the Book Rion Marketplace Rules, the Content and Intellectual Property Policy, and any applicable seller or partner agreement.

10.3 Book Rion may charge buyer-side platform fees, seller commissions, logistics charges, logistics markups, lease moderation fees, exchange moderation fees, payment-related charges, wallet charges, or other applicable fees.

10.4 Book Rion may revise marketplace fees, caps, bands, rates, and structures from time to time.

10.5 Book Rion may use escrow, controlled settlement, wallet systems, or payment partners to protect users, sellers, lessors, buyers, and the platform.

11. Physical Book Orders and Delivery

11.1 Users may order Physical Books through the platform, subject to availability, pricing, logistics coverage, and fulfilment conditions.

11.2 Delivery fees may be calculated based on factors including distance, weight, volume, delivery location, pickup location, source location, courier rates, fulfilment structure, and any applicable service markup.

11.3 Where multiple books are ordered, delivery may be calculated based on whether the books are sourced from the same seller, different sellers, same location, or multiple locations.

11.4 Book Rion may offer users the option, where available, to receive multi-source orders together or separately.

11.5 Book Rion may apply a logistics markup or service charge on logistics fees, subject to the fee structure in force at the time of transaction.

11.6 Delivery timelines are estimates only, unless expressly stated otherwise. Book Rion shall not be liable for delays caused by courier partners, incorrect user information, force majeure events, failed delivery attempts, user unavailability, regulatory delays, or other circumstances outside its reasonable control.

12. Digital Books and Digital Access

12.1 Digital Content may be accessed only through authorised Book Rion systems and in accordance with the access model selected by the rights holder, publisher, seller, or Book Rion.

12.2 Unless expressly stated otherwise, purchasing or accessing Digital Content through Book Rion grants the user a limited, personal, non-transferable, non-exclusive right to access such content in accordance with applicable terms.

12.3 Users shall not reproduce, distribute, transfer, resell, publicly display, scrape, upload, modify, bypass protection on, or otherwise exploit Digital Content except as expressly permitted by Book Rion or the relevant rights holder.

12.4 Book Rion may apply technical protection measures, including in-app reading, watermarking, access logs, download restrictions, DRM, or other control mechanisms.

13. Physical Book Lease and Exchange

13.1 Book Rion may allow users to lease or exchange Physical Books through community or marketplace features.

13.2 A user listing a book for lease must accurately disclose the condition of the book and comply with all listing and fulfilment requirements.

13.3 A user leasing a book receives temporary access only and does not acquire ownership.

13.4 Late return, damage, loss, misrepresentation, or failure to comply with lease terms may attract penalties, deductions, restrictions, or suspension.

13.5 A user who makes a book available for lease may earn lease income into a Book Rion Wallet, subject to settlement rules, dispute holds, withdrawal requirements, and applicable deductions.

13.6 Book exchanges may occur user-to-user under Book Rion’s moderation rules.

13.7 Book Rion may charge moderation fees, logistics fees, balancing charges, or other applicable charges for lease and exchange transactions.

14. Content Provider Terms

14.1 Content Providers shall ensure that all listings, prices, descriptions, stock levels, metadata, rights information, and availability details are accurate and current.

14.2 Content Providers represent and warrant that they own or have lawful authority to sell, lease, distribute, upload, display, or otherwise make available all content or books submitted through Book Rion.

14.3 Book Rion may require proof of ownership, ISBN details, distribution rights, publisher authorisation, licensing documentation, or other verification materials.

14.4 Book Rion may charge service fees, commissions, listing fees, promoted listing fees, visibility fees, subscription fees, or any other approved commercial charges applicable to Content Providers.

14.5 Promoted listings, enhanced visibility, campaign placement, or recommendation priority may attract additional fees, subject to Book Rion’s commercial terms.

14.6 Book Rion does not guarantee sales volume, reader engagement, visibility, ranking, profit, conversion, or business outcome for any Content Provider.

15. Prohibited Content and Listings

15.1 Book Rion strictly prohibits the listing, upload, sale, lease, exchange, distribution, or promotion of:

• (a)pirated books or materials;
• (b)counterfeit books;
• (c)stolen books;
• (d)unauthorised e-books or digital files;
• (e)materials reproduced or distributed without appropriate permission;
• (f)content that infringes copyright, trademark, privacy, contractual, or other proprietary rights;
• (g)fraudulent, misleading, or misrepresented listings;
• (h)unlawful, harmful, abusive, defamatory, or deceptive content.

15.2 Book Rion may review, reject, suspend, disable, delist, or permanently remove any content or listing that violates these Terms or creates legal, financial, reputational, spiritual, social, or operational risk.

15.3 Book Rion reserves the right to prohibit content that promotes, teaches, or normalises illicit, dangerous, exploitative, or psychologically harmful practices, including content that may be reasonably considered spiritually exploitative, manipulative, or harmful to vulnerable readers.

15.4 Where prohibited content is listed due to oversight, error, system failure, or misrepresentation, Book Rion may remove it without prior notice and without obligation to refund listing-related fees.

16. Intellectual Property

16.1 All intellectual property rights in the Book Rion platform, including software, design, branding, logos, interface, databases, workflows, recommendations, analytics systems, platform content, and proprietary tools, belong to Book Rion or its licensors.

16.2 No user shall copy, reproduce, adapt, reverse engineer, distribute, exploit, or create derivative works from Book Rion’s proprietary materials without written permission.

16.3 Intellectual property rights in third-party books and content remain with the relevant authors, publishers, creators, licensors, or rights holders.

16.4 By uploading or listing content, the uploader grants Book Rion the rights necessary to host, display, index, market, distribute, process, and make such content available through the platform, subject to the Content and Intellectual Property Policy.

17. Privacy and Data Protection

17.1 Book Rion collects and processes personal data in accordance with its Privacy Policy and applicable data protection laws.

17.2 By using the platform, you consent to the collection, processing, storage, transfer, and use of your data as described in the Privacy Policy.

17.3 Users shall not collect, misuse, disclose, scrape, or process other users’ personal data except as expressly permitted by Book Rion and applicable law.

18. Community Features and User-Generated Content

18.1 Book Rion may provide community features, including reviews, comments, discussions, reading groups, book lease and exchange interactions, challenges, recommendations, or other social features.

18.2 Users shall use community features respectfully and lawfully.

18.3 Users shall not post abusive, defamatory, unlawful, misleading, harassing, infringing, exploitative, or harmful content.

18.4 Book Rion may moderate, edit, remove, restrict, hide, suspend, or refuse any user-generated content at its discretion.

18.5 By submitting user-generated content, users grant Book Rion a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, moderate, use, and promote such content for platform-related purposes.

19. Suspension and Termination

19.1 Book Rion may suspend, restrict, or terminate a user’s Account or platform access where the user:

• (a)breaches these Terms or any related policy;
• (b)violates applicable law;
• (c)engages in fraud, infringement, abuse, manipulation, or misconduct;
• (d)provides false or misleading information;
• (e)causes or may cause legal, financial, operational, reputational, or security risk;
• (f)fails to cooperate with verification, investigation, or dispute resolution;
• (g)misuses content, payments, wallet features, marketplace tools, or community features.

19.2 Book Rion may, during investigation or enforcement, withhold access to services, freeze funds, suspend withdrawals, disable listings, revoke licences, remove content, cancel transactions, or restrict platform privileges.

19.3 Termination of an Account shall not affect any accrued rights, obligations, fees, liabilities, penalties, or dispute processes existing before termination.

20. Disclaimers

20.1 The platform is provided on an “as is” and “as available” basis.

20.2 Book Rion does not warrant that:

• (a)the platform will be uninterrupted, error-free, secure, or always available;
• (b)all content will be accurate, complete, lawful, current, or suitable for every user;
• (c)marketplace transactions will always be completed without dispute;
• (d)analytics, recommendations, summaries, reading tools, or AI-assisted features will be error-free or fit for a specific purpose;
• (e)sellers, authors, publishers, or bookstores will earn any particular revenue, visibility, sales, or engagement.

20.3 Users are responsible for evaluating the suitability of books, content, services, and transactions before relying on them.

21. Limitation of Liability

21.1 To the fullest extent permitted by law, Book Rion shall not be liable for indirect, incidental, special, consequential, punitive, reputational, or economic loss arising from use of the platform.

21.2 Without limitation, Book Rion shall not be liable for:

• (a)loss of profit, revenue, goodwill, data, opportunity, or business;
• (b)failed or delayed deliveries caused by third parties;
• (c)unauthorised user conduct;
• (d)third-party content or listings;
• (e)temporary suspension, restriction, takedown, or enforcement action taken in good faith;
• (f)inaccurate user-provided information;
• (g)payment delays caused by payment processors, banks, escrow providers, or verification issues.

21.3 Nothing in these Terms shall exclude liability that cannot lawfully be excluded under Nigerian law.

22. Indemnity

22.1 You agree to indemnify and hold harmless Book Rion, its directors, officers, employees, contractors, partners, and affiliates from and against any claims, losses, damages, liabilities, penalties, costs, and expenses arising from:

• (a)your breach of these Terms;
• (b)your unlawful use of the platform;
• (c)your infringement of any third-party right;
• (d)your uploaded, listed, submitted, or distributed content;
• (e)your marketplace transaction, lease, exchange, sale, or fulfilment conduct;
• (f)your fraud, negligence, misrepresentation, or misconduct.

23. Force Majeure

23.1 Book Rion shall not be liable for failure or delay in performing any obligation caused by events beyond its reasonable control, including acts of God, network failure, power failure, cyberattacks, government action, regulatory restrictions, strikes, civil unrest, logistics disruption, epidemic, pandemic, natural disaster, or failure of third-party service providers.

24. Amendments to Terms

24.1 Book Rion may amend, update, revise, or replace these Terms from time to time.

24.2 Any revised Terms shall take effect from the date stated in the updated version or upon publication on the platform.

24.3 Continued use of the platform after an update shall constitute acceptance of the revised Terms.

25. Notices

25.1 Book Rion may send notices by email, in-app notification, platform message, website update, dashboard notice, or any other reasonable communication method.

25.2 Users are responsible for keeping their contact information current.

26. Governing Law

26.1 These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

27. Dispute Resolution

27.1 Any dispute arising out of or in connection with these Terms shall first be resolved amicably through good-faith discussions between the parties.

27.2 Where the dispute is not resolved within fourteen (14) days of written notice, the dispute shall be referred to mediation in Lagos State, Nigeria.

27.3 Where mediation fails or is declined, the dispute shall be submitted to the competent courts of Lagos State, Nigeria, unless a separate agreement between the parties provides for arbitration or another dispute resolution mechanism.

27.4 Nothing in this clause shall prevent Book Rion from seeking urgent interim, injunctive, or protective relief before any court of competent jurisdiction.

28. Severability

28.1 If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect.

28.2 The invalid or unenforceable provision shall be interpreted or replaced in a manner that most closely reflects its original commercial and legal purpose.

29. No Waiver

29.1 Failure by Book Rion to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision or any other provision at a later time.

30. Entire Agreement

30.1 These Terms, together with all related Book Rion policies and applicable written agreements, constitute the entire agreement between the user and Book Rion in relation to use of the platform.
